Terms of Sale (Public Offer)

The terms on which Mutual Act LLC (Wyoming, USA) sells its Products worldwide. Includes the 14-day right of withdrawal for EU / UK consumers, the legal guarantee of conformity, how import duties are treated, and the seller's legal details.

Effective date: 18 September 2026.

These Terms of Sale (the “Offer”) govern the purchase of Products from the mutual-act.com online store. Placing an order means you have read, understood and agreed to these terms. If you do not agree, please do not place an order. If you are a consumer resident in the European Union, the United Kingdom or another jurisdiction that grants you mandatory statutory rights, those rights are preserved and prevail over any conflicting clause below.

“Products” means jewelry, accessories, temporary tattoos and any other physical goods offered for sale through the Site. Where a clause below refers to jewelry, it applies to jewelry pieces only.

“Mutual Act” is the trading name used by the seller for the brand and the online store operated at mutual-act.com (the “Site”). References below to “we”, “us” or “our” mean the seller.

Our pieces are made in and shipped from Tbilisi, Georgia. Orders are fulfilled and dispatched on our behalf by our production partner, Individual Entrepreneur Nikita Diachenko (Georgia, ID 304821664).

2. Who can order

You may place an order if you are at least 18 years old and legally able to enter into a binding contract in your country of residence. By placing an order you confirm that this is the case and that the payment method you use belongs to you or that you have authorization to use it.

3. Products and descriptions

We describe each Product with photographs, materials, dimensions and available sizes on its product page. Because most pieces are produced in small runs or by hand, small variations in tone, texture and finish are inherent and are not defects. Colors on your screen may differ slightly from the actual Product due to display calibration.

Some Products are made to order: they are produced after payment, from a design and in a size offered in our catalogue, and have a longer dispatch time shown on the product page (never more than 21 days). Made-to-order Products are not personalised and remain covered by the statutory right of withdrawal described in section 8. Where a Product is made to your individual specifications or clearly personalised (for example, engraved or made in a non-standard size at your request), the product page says so before you order, and the statutory right of withdrawal does not apply to it.

4. Prices, currency and taxes

All prices are shown on the Site. The authoritative price and the actual charge on your card are always in United States dollars (USD). The Site can display prices in other currencies (EUR, GBP, GEL) as a convenience, using exchange rates updated regularly; converted prices are approximate, and your card issuer may apply its own rate and fees. The USD amount you will be charged is shown on the checkout summary.

Import duties and taxes depend on the delivery option you choose at checkout. For options marked “duties and taxes included” (Delivered Duty Paid, DDP), import duties and taxes for the destination are included in the checkout total and no additional import charges are due on delivery. For options marked “duties and taxes not included”, import duties and taxes may be collected from you by customs or the local postal operator on delivery; they are not part of your order and are not reimbursed by us. Whether duties and taxes are included is shown next to each delivery option at checkout, before you pay, and repeated in your order confirmation email.

Applicable sales, use and similar taxes are calculated and collected where required by applicable law. Any tax charged by Mutual Act is shown at checkout before payment.

5. Placing an order — how the contract is formed

The presentation of products on the Site is an invitation to place an order. Your order becomes a binding contract of sale only when we send you an order confirmation email after successful payment. If we cannot accept your order (for example, because an item is out of stock, we identify a pricing error, or the payment does not go through), we will let you know and any charge will be reversed.

Before you submit your order you will see a summary showing the Products, sizes, quantities, delivery address, delivery option and its duties treatment, and the total in USD. You can correct any input error before ordering. The order button is labelled “Order and pay”: pressing it places a binding order with an obligation to pay. Please check the summary carefully — you are responsible for the accuracy of the information you provide.

After payment we send you an order confirmation email on a durable medium containing the details of your order, the seller's identity, the information on the right of withdrawal and the model cancellation form, and a reference to the version of these Terms that applies to your order. Please keep it.

6. Payment

Payment is taken online at checkout through a secure payment page operated by our payment provider, which supports major card schemes, Apple Pay, Google Pay and 3-D Secure. We never see or store your card number, expiry date or CVV. We only receive the transaction reference and the outcome (approved / declined).

If your payment fails, your order remains unconfirmed and can be re-attempted from your account or via the link in the automatic email. Orders that stay unpaid are automatically cancelled after a reasonable period.

7. Shipping and delivery

We ship worldwide from Tbilisi, Georgia, where our pieces are made, by international express courier. The delivery options, costs, estimated transit times and duties treatment available for your destination are shown at checkout. Products in stock are dispatched within 3 business days of payment; made-to-order Products within the dispatch time shown on the product page. If we cannot dispatch within that time, we will tell you before it runs out and offer you the choice between a revised dispatch date and cancelling the order for a full refund. Estimated delivery times are estimates only; carrier or customs delays are outside our control.

Our pieces are made in and shipped from Tbilisi, Georgia. Orders are fulfilled and dispatched on our behalf by our production partner, Individual Entrepreneur Nikita Diachenko (Georgia, ID 304821664).

Risk of loss and title to the goods pass to you at the moment of delivery to the address you provided. If you are a consumer in the EU or UK, applicable statutory rules on the passing of risk apply and prevail over this clause.

Duties and taxes are treated as set out in section 4. For a delivery option marked “duties and taxes included”, if a carrier nevertheless attempts to collect import charges from you at delivery, please pay only if unavoidable and then contact us for full reimbursement. Loss of or damage to the goods in transit is our risk until delivery: we replace or refund the Product and handle any claim with the carrier ourselves.

8. Right of withdrawal (EU and UK consumers)

If you are a consumer resident in the European Union, you have the right under Directive 2011/83/EU to withdraw from the contract within 14 days of the day you (or a person you nominated) took physical possession of the goods, without giving any reason. Consumers in the United Kingdom have equivalent rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

To exercise the right of withdrawal, notify us of your decision by an unequivocal statement — for example, by email to hello@mutual-act.com — before the 14-day period expires. You may use the model cancellation form published on our Returns page, but you do not have to. Your cancellation is effective when you send the statement; you do not need our prior approval, and you do not need to give a reason. A Return Authorization that we send in reply serves logistics and customs purposes only and does not affect the validity of your cancellation.

Send the goods back without undue delay and in any event not later than 14 days from the day on which you communicated your withdrawal to us. You bear the direct cost of returning the goods. Please return the goods with their original packaging where reasonably possible; the absence of the original packaging does not by itself remove your right to withdraw. You are only liable for any diminished value of the goods resulting from handling other than what is necessary to establish their nature, characteristics and functioning.

EU consumers: we reimburse all payments received from you, including the costs of delivery (except the supplementary costs resulting from your choice of a type of delivery other than the least expensive standard delivery we offer), without undue delay and in any event not later than 14 days from the day on which we are informed of your decision to withdraw. We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent them back, whichever is the earliest. UK consumers: reimbursement is made without undue delay and within the time limits set by the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 — no later than 14 days after the day we receive the goods back or, if earlier, the day you supply evidence of having sent them. We refund using the same means of payment you used, unless you have expressly agreed otherwise, and you will not incur any fees as a result.

Exceptions — where the right of withdrawal does not apply

  • Products made to your individual specifications or clearly personalised (Directive 2011/83/EU, Art. 16(c); Consumer Contracts Regulations 2013, reg. 28(1)(b)). Such Products are marked on the product page before you order. Ordinary made-to-order Products from our catalogue are not personalised and remain covered.
  • Sealed Products which are not suitable for return for health-protection or hygiene reasons and were unsealed after delivery — for example pierced earrings supplied in a sealed hygiene package, once the seal is broken (Art. 16(e); reg. 28(3)(a)). This applies only where such a seal is actually supplied.

9. Returns and refunds outside the withdrawal right

For customers outside the EU and UK, and in any case where the statutory right does not apply, we accept returns under our voluntary policy: unworn, undamaged Products in their original packaging, notified within 14 days of delivery. Products made to your individual specifications are excluded from this voluntary policy unless faulty. Where a product page states at the time of purchase that a sale or promotional Product is excluded from voluntary returns, that exclusion applies to this voluntary policy only and does not affect any statutory cancellation or consumer rights that cannot be excluded. Under the voluntary policy you are responsible for the cost and safety of the return shipment unless the return is due to our error or to a defect; please use a tracked service. Returns are received by our fulfilment partner in Tbilisi, Georgia; the return address and customs instructions are provided in our reply to your return request.

10. Legal guarantee of conformity

EU consumers benefit from the legal guarantee of conformity provided by the national law implementing Directive (EU) 2019/771: we are liable for any lack of conformity which exists at the time of delivery and becomes apparent within two years of delivery, or within any longer period provided by your national law. The remedies available depend on applicable law: you are entitled to have the goods brought into conformity by repair or replacement (your choice, unless the remedy chosen is impossible or disproportionate) and, where the relevant legal conditions are met — for example if repair or replacement is not completed or the lack of conformity is serious — to a proportionate price reduction or the termination of the contract.

UK consumers have statutory rights under the Consumer Rights Act 2015: goods must be of satisfactory quality, fit for purpose and as described. These rights include the short-term right to reject in applicable circumstances, the right to repair or replacement and, where the statutory conditions are met, a price reduction or the final right to reject. Nothing in these Terms limits those statutory rights.

Consumers in other countries have the rights provided by the mandatory law of their country of residence. The legal guarantee is provided free of charge and is separate from and additional to any commercial guarantee we may offer. From 27 September 2026, the harmonised notice on the legal guarantee of conformity required by EU law is displayed on the Site for EU consumers.

11. Discount codes and promotions

From time to time we may issue discount codes or in-site rewards (such as the sudoku reward). Unless stated otherwise: only one discount can be applied per order; discounts cannot be combined; discounts have no cash value and cannot be exchanged; a discount can be used only once per customer/email; a discount is consumed only when an order is paid — an unpaid or cancelled order does not consume it. We may withdraw or change promotions at any time, but changes will not affect orders already placed.

12. Personal data

We process personal data — the details you give us to fulfill your order and to run your account — in accordance with our Privacy Policy, available at /privacy. By placing an order you acknowledge that you have read the Privacy Policy.

13. Intellectual property

All content on the Site — including the “Mutual Act” name, logo, photographs, designs, texts, videos and code — is protected by copyright, trademark and other intellectual-property laws and is owned by us or our licensors; the Mutual Act brand and designs are used by the seller under licence. Buying a Product does not transfer any intellectual-property right in its design. You may not copy, reproduce, distribute, resell as new, or use our content for commercial purposes without our prior written consent.

14. Care of the pieces

Jewelry is delicate. Please avoid contact with perfume, cosmetics, chlorine, salt water and abrasive surfaces; remove your pieces before sport, sleep or manual work; store them in the pouch or box provided. Temporary tattoos: follow the directions and warnings on the product packaging. Damage caused by improper use, alteration by a third party, or normal wear and tear is not a lack of conformity.

15. Limitation of liability

Nothing in this Offer limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under the law that applies to you. Subject to the foregoing, our aggregate liability arising out of or in connection with any order is limited to the price paid for that order.

We are not liable for delays or failures caused by events outside our reasonable control, including but not limited to acts of God, war, civil disturbance, epidemics, embargoes, strikes, carrier disruption, customs holds, power or network outages (“force majeure”). If such an event materially affects your order we will contact you to agree a new delivery date or a refund.

16. Complaints

If something is wrong with your order, please email us at hello@mutual-act.com. We aim to acknowledge complaints within 5 working days and to resolve them within 30 days.

17. Governing law and jurisdiction

This Offer, and any dispute or claim arising out of or in connection with it, are governed by the laws of the State of Wyoming, United States of America, without regard to its conflict-of-laws rules. The state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction to settle any such dispute — with the following consumer safeguard:

If you are a consumer habitually resident in the European Union or the United Kingdom, the mandatory consumer-protection rules of the law of your country of habitual residence continue to apply and cannot be taken away by this clause (Regulation (EC) No 593/2008 on the law applicable to contractual obligations — “Rome I” — Art. 6). You may also bring proceedings against us in the courts of your country of habitual residence.

18. Changes to this Offer

We may update this Offer to reflect changes in our operations or in the law. The version that applies to your order is the one published on the Site at the moment you place the order. We keep an archive of previous versions and will provide them on request.

19. Severability and no-waiver

If any clause of this Offer is held to be invalid or unenforceable by a competent court or authority, the remaining clauses remain in full force. Our failure to enforce any right does not amount to a waiver of that right.
